NEDA VENDOR Release & Indemnity Agreement

Terms and Conditions

• Vendor must, at its own expense, procure and maintain a current insurance policy that includes Commercial General Liability, including Bodily Injury and Property Damage Liability in an amount not less than $1,000,000 combined single limit, per occurrence,  and $2,000,000 in the aggregate.

• Vendor will add NEDA and its officers, directors, employees, agents and volunteers as Additional Insureds and will provide NEDA with a certificate of insurance prior to the Event.

• Vendor represents and warrants that it has or will have insurance covering all persons whom the Vendor may employ at the Event in accordance with applicable legal requirements.

• Vendor represents and warrants that it has or will have all permits and permissions and is and will follow all legal and regulatory requirements, necessary to attend the Event. If Vendor is a food vendor, Vendor represents and warrants that it will always have at least one staff member at the Event with a ServeSafe certification, and that it will obtain, at its own expense, any and all Board of Health or other necessary permits in sufficient time to attend the Event.

• Vendor, and all persons whom the Vendor may employ at the Event, are expected to conduct business and act in a professional and courteous manner. Vendor is responsible for the
behavior and activities of all persons whom the Vendor may employ at the Event.

• Any personal injury to Vendor or third parties, or any property damage incurred by or caused by Vendor or any persons whom Vendor may employ at the Event, shall be the responsibility of Vendor.

• Vendor agrees to indemnity, defend, and hold harmless NEDA and its officers, directors, employees, agents, and volunteers against all costs, losses, damages, liabilities, expenses,
demands and judgements, including court costs and attorney fees, which may arise out of the attendance at the Event by Vendor and all persons whom Vendor may employ at the Event, or arising out of this Agreement.
